The Sites www.oem.com.sg and www.online-exhibtior-manual.com are owned by SSCi Singapore Pte Ltd and these Terms and Conditions of Use govern your use of the online OEM software and service, which is operated by SSCi Singapore Pte Ltd know as ("OEM") at the address of 808 French Road, Kitchener Complex, #07-177 Singapore 200808. The Site must be used in accordance with the Site Terms and Conditions. By using the Site, you acknowledge and agree to be bound by the Site Terms and Conditions.

OEM reserves the right, at its discretion, to change or modify all or any part of these Terms and Conditions at any time, effective immediately upon publication in this system. Your continued use OEM System constitutes your binding acceptance of these Terms and Conditions, including any changes or modifications made by OEM as permitted above. If at any time these Terms and Conditions are no longer acceptable to you, you should immediately cease using OEM System, and concurrently notify OEM of such fact and the reasons therefor.
The OEM software has been designed in full compliance with all applicable data protection and system security legislation and industry practices. However, OEM cannot guarantee that the system will be free of illegal or otherwise unauthorised access by third parties and OEM will not be liable for the consequences of any such access.

The placement of an order by any user of the software for any goods and/or services will constitute consent for the receipt and processing of all information in respect of such order including credit or debit card details, the accuracy of which shall be the sole responsibility of the user.

OEM Copyright
SSCi Singapore Pte Ltd own copyright to the finished customized OEM for the respective show and exhibition produced by SSCi Singapore Pte Ltd. You will be assigned rights to used the show and exhibition customized OEM and you acknowledge that OEM System and its databases contain information, data, software, source code, work-up files, photographs, graphics and other material ("Content") that are protected by copyright, trademark or other proprietary rights of OEM or third parties. All Content provided in OEM System is copyrighted as a collective work of OEM and protected by applicable copyright laws. You agree to comply with such laws and any additional copyright notices, information, or restrictions contained in any Content provided or accessed through the OEM System software. You may not modify, transmit, transfer, reproduce, distribute, display, in any way exploit or create derivative works from any of the Content, in whole or in part, except as expressly permitted in these Terms and Conditions. Content consisting of downloadable software, including code executable within your browser, may not be disassembled or reverse engineered unless specifically authorised by OEM or, if applicable, the owner of the software's patent and/or copyright, as the case may be.

Content Copyright and Trademark
You may unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork given to OEM for inclusion in the show and exhibition customize OEM site are owned by you, or that you has permission from the rightful owner to use each of these elements, and will hold harmless, protect and defend OEM and its subcontractors from any claim or suit arising from the use of such elements furnished by you. If you do not have any or sufficient copyright graphics and photos, OEM will insist on purchasing appropriate graphic and stock photo CDs from their respective websites and you will pay the cost. You may not post in OEM System any Content which (a) is libellous, defamatory, obscene, pornographic, abusive, harassing or threatening, (b) contains viruses or other contaminating or destructive features, (c) violates the property rights of others, such as Content which infringes any copyright, trademark, patent, trade secret or violates any right of privacy or publicity, or (d) otherwise violates any applicable law. You may not post in OEM System any links to any external Internet sites that fall within any of the Content categories listed in subparagraphs (a) through (d) above.

OEM reserves the right to delete, move or edit any Content that it may determine, at its sole discretion, violates these Terms and Conditions or is otherwise unacceptable. You will remain solely responsible for all Content provided by you. OEM shall have the right, but not the obligation, to correct any errors or omissions in any Content, as it may determine at its sole discretion.

No Endorsement
OEM does not represent or endorse the accuracy or reliability of any Content posted in OEM System and you acknowledge that any reliance upon such Content shall be at your sole risk. Any Content posted in OEM System by third parties are the views of the parties posting the statements, and do not represent the views of OEM.

OEM System may contain links to sites on the Internet which are owned and operated by third parties ("External Sites"). You acknowledge that OEM is not responsible for the availability of, or the content located on or through, any External Site. You should contact the site administrator or Webmaster for those External Sites if you have any concerns regarding such links or the content located on them.

Indemnity
You agree to indemnify, defend and hold OEM and its affiliates, and their respective officers, directors, owners, agents, information providers and licensors (collectively, "OEM Parties") harmless from and against any and all claims, liability, losses, costs and expenses (including lawyers' fees) incurred by any OEM Party in connection with any use or alleged use of OEM System under your password by any person, whether or not authorised by you. OEM reserves the right, at its own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with OEM in respect of its defence of such claim.

Breach of Site Terms and Conditions
OEM reserves the right, in its sole discretion, to restrict, suspend or terminate your access to all or any part of OEM System at any time for any reason without prior notice or liability. OEM may change, suspend or discontinue all or any aspect of OEM System at any time, including the availability of any feature, database, or Content, without prior notice or liability, except as provided in OEM's contracts with its clients and suppliers.

DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
NEITHER OEM NOR ANY PROVIDER OF THIRD PARTY CONTENT OR THEIR RESPECTIVE AGENTS WARRANTS THAT THE SERVICE PROVIDED BY THIS SITE WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES OEM, ANY THIRD PARTY CONTENT PROVIDER, OR THEIR RESPECTIVE AGENTS MAKE ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM USE OF OEM SYSTEM OR THE CONTENT. OEM SYSTEM AND THE CONTENT ARE DISTRIBUTED ON AN "AS IS, AS AVAILABLE" BASIS. NONE OF OEM, THIRD PARTY CONTENT PROVIDERS AND THEIR RESPECTIVE AGENTS MAKES ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH RESPECT TO OEM SYSTEM, ANY CONTENT OR ANY PRODUCTS OR SERVICES SOLD THROUGH THIS SERVICE. NEITHER OEM NOR ANY THIRD PARTY CONTENT PROVIDER WARRANTS THAT ANY FILES AVAILABLE FOR DOWNLOADING THROUGH THE SERVICE WILL BE FREE OF VIRUSES OR SIMILAR CONTAMINATION OR DESTRUCTIVE FEATURES. YOU EXPRESSLY AGREE THAT THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SERVICE AND THE ACCURACY OR COMPLETENESS OF THE CONTENT IS ASSUMED SOLELY BY YOU.
NEITHER OEM, ANY THIRD PARTY CONTENT PROVIDER NOR THEIR RESPECTIVE AGENTS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE OF OR INABILITY TO USE OEM SYSTEM, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SOME JURISDICTIONS DO NOT ALLOW EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, THE LIABILITY OF OEM, THIRD PARTY CONTENT PROVIDERS AND THEIR RESPECTIVE AGENTS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

Miscellaneous
These Terms and Conditions shall be construed in accordance with the laws of Republic of Singapore, and the parties irrevocably consent to the jurisdiction of the courts of Singapore in respect of the enforcement of these Terms and Conditions. These Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof, and supersede all previous written or oral agreements between the parties with respect to such subject matter. If any inconsistency exists between these Terms and Conditions and any additional terms and conditions posted in this site, such terms shall be interpreted as to eliminate any inconsistency, if possible, and otherwise, the additional terms and conditions shall take precedence.
Any and all commercial arrangements made or entered into by you in respect of OEM System shall be between you and the applicable exhibition organiser, contractor, supplier or other third party, as the case may be, and OEM shall not have any liability, contractual or otherwise, relating thereto.
